These Terms & Conditions ("Terms") govern your access to and use of the Zenlit mobile application (the "App"), websites, SDKs, dashboards, and related services (collectively, the "Services"). The Services are provided by Zenlit Labs, Inc. ("we", "us", or "our"). By creating an account, connecting a vehicle, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms incorporate by reference the following documents, which may be updated from time to time and will be made available via in-app links and at the URLs below:

You must be 18 years or older and able to form a binding contract to use the Services. You are responsible for safeguarding your account credentials and any non‑custodial wallet credentials. We do not store private keys or recovery phrases; loss of such credentials may result in permanent loss of access to digital assets.
If you download the App from a third‑party app store (such as Apple App Store or Google Play), your use of the App is also subject to the terms and policies of that store. For iOS users, Apple's Standard Licensed Application End User License Agreement (or any custom EULA we later publish in App Store Connect) applies in addition to these Terms. For Android users, these Terms govern your use of the App, and you must also comply with Google Play's applicable policies. In the event of a conflict between these Terms and mandatory app‑store terms, the store's terms will control only to the extent required by that store's rules.
Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services for your personal, non‑commercial purposes. We (and our licensors) retain all rights not expressly granted herein.
You agree not to:
• misuse the Services;
• interfere with or circumvent security or integrity features (including geo‑verification, device binding, or anomaly detection);
• submit false, spoofed, or manipulated driving/telematics data;
• automate or manipulate reward accrual; or
• violate applicable laws or third‑party rights.
We may suspend or terminate accounts and withhold or claw back rewards in the event of suspected fraud, abuse, policy breaches, or legal requirements.
We operate a rewards program in which users can earn ZNLT for safe‑driving behavior and other permitted activities (e.g., referrals). The complete program parameters (definitions, score bands, limits, exclusions, fraud checks, caps) are maintained in a separate Rewards Policy available via in‑app link and at the URL above. We may update the Rewards Policy periodically with appropriate notice.
7.1 Eligibility to Earn
To earn in a given period, you must maintain an active account, complete any required device binding and geo‑verification, and transmit valid trip/telematics data meeting minimum thresholds. The App produces a daily Safety Score that maps to configurable reward bands described in the Rewards Policy.
7.2 Supply; Budgets
Total supply is fixed at 100,000,000,000 ZNLT. Rewards are released from treasury according to programmatic controls (e.g., monthly activations, decreasing issuance curves) and may include allocations to operator/foundation/platform wallets for ecosystem operations, as disclosed in the Rewards Policy. We may adjust parameters to preserve sustainability, with notice per the policy.
7.3 Clawback; Program Changes
We may withhold, reverse, or claw back ZNLT for fraud, abuse, or legal/compliance reasons. ZNLT has no guaranteed monetary value; redemption options may vary by phase and jurisdiction. The Rewards Program may be modified, paused, or terminated.
7.4 Taxes
You are responsible for any taxes arising from receipt or use of rewards.
8.1 Non‑Custodial Wallets
The App can help you create a non‑custodial wallet (e.g., 12‑word recovery). We do not hold private keys and cannot recover your wallet. On‑chain transactions may be irreversible and publicly visible.
8.2 Governance; Security
Token issuance and treasury operations use hardware wallets, multi‑signature authorization, and auditable smart‑contract controls; upgradeability is used responsibly with appropriate oversight.
8.3 Legal Characterization
ZNLT is designed as a utility token used within the ecosystem (e.g., redemption, access, features). It is not offered or intended as an investment or a security; we do not market it for profit expectation or price appreciation.
8.4 KYC/AML; Sanctions
We may require KYC/AML checks for specific features (e.g., higher reward limits, redemptions, fiat gateways) and will restrict use where required by law, including sanctions compliance.
Where the Services interface with insurance (e.g., quotes, referrals), we operate through licensed entities and partners. Rewards are not conditioned on purchasing, renewing, or retaining insurance, and any incentives comply with anti‑rebating and other applicable insurance laws. We do not bind coverage; insurers are the risk carriers.
Marketplace features may launch in phases (e.g., accrual → limited redemptions like gift cards → later listings subject to law and platform rules). Third‑party terms govern any purchases or vouchers; we are not responsible for third‑party offerings. A portion of marketplace revenue may support ecosystem programs (e.g., buybacks) as disclosed in policy.
We may charge fees for certain features (e.g., network/transaction fees, premium features). We disclose applicable fees in‑app and/or in a separate Fees/Rewards Policy. Please note that token transfers from your wallet (such as for redemptions or other blockchain transactions) may require payment of a network "gas" fee, similar to other cryptocurrency transfers. These fees are determined by the underlying blockchain network and are not set or collected by us.
Our Privacy Policy describes categories of data we collect (e.g., driving behavior, geolocation, usage data, wallet addresses/transactions), the purposes (e.g., scoring, rewards eligibility, fraud prevention), sharing practices, your rights under applicable privacy laws, and security/retention measures. The Services and content are protected by intellectual property laws. You grant us a non‑exclusive, worldwide license to use feedback you provide to improve the Services.
THE SERVICES (INCLUDING REWARDS AND MARKETPLACE FEATURES) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DRIVING INSIGHTS ARE INFORMATIONAL ONLY; YOU ARE RESPONSIBLE FOR SAFE DRIVING AND COMPLYING WITH LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, TOKENS, OR PROFITS. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) AMOUNTS YOU PAID (IF ANY) FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM.
You agree to indemnify and hold us harmless from claims arising from your misuse of the Services, breach of these Terms, or violation of law or third‑party rights.
We may modify the Services or these Terms. If we make material changes, we will provide notice (e.g., in‑app notice or email) and update the "Last Updated" date.
These Terms are governed by the laws of the State of California (without regard to conflicts‑of‑law rules). To the extent permitted by law, any dispute will be resolved by binding arbitration in Santa Clara County, California, on an individual basis (no class actions), administered by JAMS (or a similar organization).
You may stop using the Services at any time. We may suspend or terminate access for violations of these Terms or risks to the platform. Sections intended to survive (IP, disclaimers, limits, dispute resolution) survive termination.
