Terms & Conditions

ZENLIT TERMS & CONDITIONS

Effective Date: [March 31, 2026]

These Terms apply to your use of the Zenlit Platform as it exists today and as it may evolve over time. Not all features are available to all users at all times. Some features may require additional eligibility requirements, technical setup, geographic availability, minimum participation thresholds, or acceptance of supplemental terms.

1. Scope and Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Zenlit mobile application and all related services, features, and programs offered by Zenlit (collectively, the "Zenlit Platform").

The Zenlit Platform is operated by Zenlit Labs, Inc., a wholly owned subsidiary of Telenav, Inc. ("Zenlit," "we," "us," or "our").

By creating an Account, connecting a vehicle, activating features, participating in rewards or Promotions, or otherwise accessing or using any part of the Zenlit Platform, you agree to be bound by these Terms.

If you do not agree, you must not access or use the Zenlit Platform.

2. Related Documents

These Terms incorporate by reference the following documents, which may be updated from time to time and made available through the Zenlit Platform:

  • Zenlit Privacy Policy

  • Zenlit White Paper

  • Any supplemental rules, policies, or terms applicable to specific features, programs, or promotions

If there is a conflict between these Terms and any supplemental terms presented for a specific feature or Promotion, the supplemental terms will govern solely with respect to that feature or Promotion.

3. Definitions

For purposes of these Terms:

  • "Zenlit Platform" means the Zenlit mobile application and all related services, features, programs, content, and functionality offered by Zenlit.

  • "Account" means a user account registered on the Zenlit Platform.

  • "Promotion" means any challenge, incentive, referral program, raffle, sweepstakes, or similar engagement activity offered by Zenlit.

Additional definitions may appear throughout these Terms where relevant.

4. Eligibility Requirements

To use the Zenlit Platform, you must:

  • Be at least 18 years old; and

  • Have the legal capacity to enter into a binding agreement.

The Zenlit Platform is currently available only within the United States. Zenlit may use location‑based signals to verify geographic eligibility and may restrict or block access outside supported regions.

Zenlit may refuse access to, suspend, or terminate Accounts that do not meet eligibility requirements.

5. Driving‑Only Use of the Platform

The Zenlit Platform is designed for individuals who are actively operating a motor vehicle.

By using the Zenlit Platform, you represent and warrant that any driving data, mileage, or trip activity submitted through the Platform reflects trips during which you were the driver of the vehicle.

You must not use the Zenlit Platform as a passenger, rideshare rider, or non‑driving occupant, and you must not permit another individual to generate activity or rewards on your behalf.

Use of the Zenlit Platform in violation of this section may result in suspension, termination, or loss of access to features or benefits.

6. Children's Use

The Zenlit Platform is not directed to individuals under the age of 18.

Zenlit relies on age‑gating mechanisms, app‑store restrictions, and the Driving‑Only requirement described above to limit access by minors. If Zenlit becomes aware that an Account is associated with a person under 18, the Account may be suspended or terminated.

7. Accounts and Account Security

To access most features of the Zenlit Platform, you must create an Account.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to provide accurate, current, and complete information and to keep your Account information up to date.

Zenlit may suspend or terminate Accounts that contain false, misleading, or incomplete information, or that are otherwise used in violation of these Terms.

8. Wallets and Blockchain Technology

Certain features of the Zenlit Platform involve blockchain‑based technology.

Zenlit may enable you to create, connect, or use a non‑custodial digital wallet. Zenlit does not store, control, or have access to your private keys or recovery phrases and cannot recover wallets.

  • Blockchain transactions are public, immutable, and irreversible.

  • Zenlit cannot reverse, freeze, retrieve, or modify digital tokens once transferred to your wallet.

  • You are solely responsible for safeguarding your wallet credentials and access.

Loss of wallet credentials may result in permanent loss of access to associated digital assets.

9. Rewards Program Overview

Zenlit operates a rewards program designed to encourage safe driving and other positive engagement with the Zenlit Platform.

Rewards may be earned through qualifying activities, which may include driving behavior, referrals, challenges, community participation, or other activities designated by Zenlit from time to time.

Rewards availability, eligibility criteria, and earning mechanics may change and are subject to these Terms and any applicable supplemental rules.

10. ZNLT Rewards Points

ZNLT Rewards Points are off‑chain, non‑transferable reward units recorded within the Zenlit Platform.

  • ZNLT Rewards Points are not digital assets and are not held on a blockchain.

  • ZNLT Rewards Points have no guaranteed monetary value.

  • ZNLT Rewards Points may be modified, suspended, revoked, or forfeited in accordance with these Terms.

ZNLT Rewards Points may be redeemed only for eligible rewards made available by Zenlit, subject to availability and additional terms.

11. ZNLT Tokens ($ZNLT)

ZNLT Tokens are blockchain‑based digital tokens that may be distributed to users who meet applicable requirements.

ZNLT Tokens are not automatically issued upon earning ZNLT Rewards Points. To receive ZNLT Tokens, you must:

  • Activate a compatible non‑custodial wallet; and

  • Satisfy any applicable conditions, including lock‑up periods or distribution schedules.

Once ZNLT Tokens are transferred to your wallet, such transfers are irreversible and outside Zenlit's control.

12. Marketplace (Zexchange)

Zenlit may operate a digital marketplace through which users may redeem ZNLT Rewards Points for eligible offerings, including gift cards or other rewards.

Marketplace offerings may be provided by third‑party vendors. Zenlit does not manufacture, sell, or control third‑party products or services and is not responsible for their fulfillment.

Unless expressly permitted under applicable supplemental terms, ZNLT Tokens cannot be used to purchase gift cards or other direct economic benefits.

Marketplace availability and offerings may change at any time.

13. Promotions, Challenges, and Incentive Programs

From time to time, Zenlit may offer promotions, challenges, or other incentive programs designed to encourage engagement with the Zenlit Platform.

Participation in any Promotion may be subject to additional eligibility requirements, entry conditions, and supplemental terms presented at the time of participation.

Zenlit reserves the right to modify, suspend, or terminate Promotions at any time, subject to applicable law.

14. Community and Social Features

The Zenlit Platform may include community and social features that allow users to share content, interact with other users, and engage with the Zenlit community.

These features may include posting text or images, commenting on content, reacting to posts, saving posts, viewing activity feeds, and gifting ZNLT within the community.

Community features are provided to promote constructive engagement and shared learning. Zenlit may modify, limit, or discontinue community features at any time.

15. Public Display Information and User Identity

Zenlit distinguishes between Account‑level information you provide to Zenlit and information that may be displayed publicly to other users through community features.

Information visible to other users may differ from the information associated with your Account. Zenlit may display a username, handle, or other identifier in connection with posts or interactions instead of Account‑level information.

Zenlit retains access to Account‑level information for moderation, fraud prevention, security, and legal compliance. Zenlit does not guarantee anonymity or pseudonymity.

16. User Content and Conduct

You are solely responsible for any content you submit, post, or share through the Zenlit Platform.

By submitting content, you grant Zenlit a non‑exclusive, worldwide, royalty‑free license to host, display, reproduce, modify, and distribute such content solely for the purpose of operating, improving, and moderating the Zenlit Platform.

You agree not to post or share content that:

  • is unlawful, misleading, or deceptive;

  • infringes the rights of others;

  • is abusive, harassing, or harmful; or

  • violates these Terms or applicable community guidelines.

Zenlit may, but is not obligated to, monitor, review, remove, or restrict access to content that violates these Terms or applicable guidelines.

17. Community Moderation

Zenlit may provide tools that allow users to report or flag content they believe violates these Terms or applicable community guidelines.

Zenlit reserves the right to:

  • remove or restrict content;

  • limit or suspend access to community features; and

  • take other appropriate action in response to violations.

Actions taken in connection with community moderation may occur without prior notice and do not limit Zenlit's ability to take further enforcement action under these Terms.

18. Prohibited Conduct and Fraud

You agree not to misuse the Zenlit Platform or attempt to gain rewards, benefits, or access through deceptive, fraudulent, or abusive conduct.

Prohibited conduct includes, without limitation:

  • simulating or falsifying trips, mileage, or driving behavior;

  • manipulating GPS signals, device sensors, or app functionality;

  • self‑referral, referral loops, or device farming;

  • creating or using more than the permitted number of Accounts per device;

  • claiming rewards for trips during which you were not the driver; or

  • using the Zenlit Platform outside supported geographic regions.

Zenlit may use automated systems, behavioral analysis, and device‑level signals to detect such conduct.

19. Investigations and Enforcement

Zenlit may investigate suspected violations of these Terms or applicable supplemental rules.

During an investigation, Zenlit may:

  • suspend or restrict access to features;

  • withhold or revoke unredeemed rewards; and

  • restrict or block devices associated with misuse.

Zenlit is not obligated to disclose the details of its fraud detection methods or investigative processes.

20. Suspension, Termination, and Consequences

Zenlit may suspend or terminate your Account, in whole or in part, if you violate these Terms or pose a risk to the integrity of the Zenlit Platform.

Upon suspension or termination:

  • unredeemed ZNLT Rewards Points may be forfeited; and

  • access to features, Promotions, or community functions may be restricted or permanently disabled.

ZNLT Tokens already transferred to a user‑controlled wallet cannot be recovered by Zenlit due to the irreversible nature of blockchain transactions. However, Zenlit may permanently restrict affected Accounts or devices from further participation.

21. Disputes and Identity Verification

If your Account is suspended or terminated, you may contact Zenlit to dispute the action, subject to any deadlines communicated at the time of suspension.

To resolve disputes or verify eligibility, Zenlit may require you to provide additional information, which may include:

  • your full name and contact information;

  • proof of identity, such as a government‑issued ID; and

  • information necessary to verify compliance with these Terms.

Failure to provide requested information within a reasonable timeframe may result in permanent Account closure and forfeiture of remaining rewards.

22. Device‑Level Restrictions

To protect the integrity of the Zenlit Platform, Zenlit may apply restrictions at the device level, including limiting the number of Accounts or referrals associated with a single device.

Device‑level restrictions may continue to apply even if individual Accounts are closed or terminated.
