These Zenlit Raffle & Sweepstakes Terms ("Raffle Terms") govern your participation in any raffle, sweepstakes, or chance-based promotional drawing offered by Zenlit through the Zenlit Platform (each, a "Raffle"). These Raffle Terms supplement and form part of the Zenlit Terms & Conditions ("T&Cs"). Capitalized terms not defined here have the meanings set forth in the T&Cs.
1. Acceptance of Raffle Terms
By entering, participating in, or submitting an entry into any Zenlit Raffle, you agree to be bound by these Raffle Terms, the Zenlit Terms & Conditions, and the Zenlit Privacy Policy.
If you do not agree, you must not participate in any Raffle. Participation in a Raffle constitutes your full and unconditional acceptance of these Raffle Terms and any additional event-specific rules presented at the time of entry.
2. Sponsor and Administrator
Each Zenlit Raffle is sponsored and administered by Zenlit Labs, Inc., a wholly owned subsidiary of Telenav, Inc., located in Santa Clara, California, United States.
Zenlit is the sole sponsor and administrator of the Raffles. Third-party vendors, gift card issuers, marketplace partners, or blockchain service providers are not sponsors of any Raffle.
3. Eligibility
Unless otherwise stated in event-specific rules, Raffles are open only to individuals who are at least 18 years of age at the time of entry, are legal residents of the United States, and have an active Zenlit account in good standing.
Employees, officers, directors, contractors, and agents of Zenlit and its affiliates, and members of their immediate families or households, may be ineligible to participate.
Raffles are void where prohibited by law. Zenlit reserves the right to verify eligibility and to disqualify any participant who does not meet eligibility requirements or who violates the T&Cs or these Raffle Terms.
4. No Purchase Necessary; Consideration Disclaimer
No purchase of money is required to participate in a Zenlit Raffle.
Entries may be obtained through methods described within the Zenlit Platform, which may include the use of ZNLT Rewards Points or ZNLT Tokens earned through participation in the Platform's features.
The use of points or tokens for Raffle entries does not guarantee a win and does not confer any ownership interest, investment right, or cash equivalent.
Where required by applicable law, Zenlit may provide an alternative method of entry that does not require the use of points or tokens, as described in the applicable event-specific rules.
5. How to Enter
The methods for entering a Zenlit Raffle will be described within the Zenlit Platform at the time the Raffle is offered.
Entry methods may include, without limitation, the redemption of ZNLT Rewards Points or ZNLT Tokens for Raffle entries, or other methods made available by Zenlit in accordance with applicable law.
All entries must be submitted in accordance with the instructions provided in the Zenlit Platform and during the applicable Raffle entry period. Entries submitted outside the designated entry period or through unauthorized means are void.
Entries have no cash value, are non-transferable, and may not be sold, exchanged, or assigned.
6. Prizes
Each Raffle will offer one or more prizes, which will be described in the Zenlit Platform and/or in event-specific Raffle rules.
Prize descriptions may include the nature of the prize, the approximate retail value ("ARV"), and any limitations or conditions applicable to the prize.
Prizes are non-transferable and may not be substituted or exchanged, except at Zenlit's sole discretion where substitution is required for reasons beyond Zenlit's control.
All federal, state, and local taxes, fees, or other costs associated with receipt or use of a prize are the sole responsibility of the winner.
7. Odds of Winning
The odds of winning a Zenlit Raffle depend on the total number of eligible entries received during the applicable entry period.
Having multiple entries may increase the statistical probability of being selected but does not guarantee a win.
Zenlit makes no representations regarding the likelihood of winning any Raffle.
8. Winner Selection and Notification
Potential winners will be selected in accordance with the winner selection process described in the Zenlit Platform and administered through Zenlit's automated systems.
Potential winners will be notified through one or more of the following methods, as determined by Zenlit: in-app notification, push notification, or other contact information associated with the user's Zenlit account.
If a potential winner does not respond, confirm eligibility, or complete any required verification within the timeframe specified by Zenlit, the potential winner may be disqualified and an alternate winner may be selected.
9. Winner Verification and Disqualification
Potential winners are subject to verification by Zenlit.
Zenlit may require a selected winner to confirm eligibility, verify account ownership, or provide identity verification or other information reasonably necessary to administer the Raffle or fulfill a prize.
Zenlit may disqualify any participant or winner if Zenlit determines, in its sole discretion, that the participant violated these Raffle Terms or the T&Cs, engaged in fraudulent, deceptive, or abusive conduct, used multiple accounts or devices to enter, or failed to respond within the required timeframe.
If a selected winner is disqualified, Zenlit may select an alternate winner or declare the prize unawarded.
10. Publicity and Winner Announcement
By participating in a Raffle, you consent to Zenlit's use of limited winner information for Raffle administration and announcement purposes, including display within the Zenlit Platform of a winner's first name and last initial or similar limited identifying information.
Zenlit will not publish additional personal information without the winner's express consent, except as required by law.
11. Limitation of Liability and Release
By participating in a Raffle, you agree to release and hold harmless Zenlit and its affiliates, officers, employees, and agents from any liability arising out of or relating to participation in the Raffle, acceptance, use, or misuse of any prize, or technical failures associated with the Raffle.
Zenlit is not responsible for lost, late, incomplete, corrupted, or misdirected entries, or for system failures that may affect Raffle operation.
12. Governing Law and Dispute Resolution
These Raffle Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to a Zenlit Raffle shall be resolved in accordance with the dispute resolution provisions set forth in the Zenlit Terms & Conditions, which are incorporated by reference.
13. Modification, Suspension, or Termination of Raffles
Zenlit reserves the right, in its sole discretion, to modify, suspend, or terminate any Raffle, disqualify any participant, or take any action necessary to ensure the integrity, fairness, or lawful operation of a Raffle.
Such actions may be taken due to technical failures, fraud, abuse, legal compliance requirements, or events beyond Zenlit's reasonable control. Zenlit shall not be liable for any modification, suspension, or termination of a Raffle made in good faith.
14. Privacy and Data Use
Participation in a Zenlit Raffle involves the collection and processing of personal data as described in the Zenlit Privacy Policy, which is incorporated by reference into these Raffle Terms.
Details regarding Raffle participation data, winner selection logs, prize fulfillment data, retention periods, and data sharing practices are described in the Privacy Policy and are not repeated here.
15. Miscellaneous
These Raffle Terms constitute the entire agreement between you and Zenlit with respect to Raffles and supersede any prior or contemporaneous communications relating to Raffles.
If any provision of these Raffle Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Zenlit's failure to enforce any provision of these Raffle Terms shall not constitute a waiver of that provision.
